Terms of Use

These terms are being finalised and are under legal review — they are not yet the final, binding agreement. They describe how Orfy operates today; some items (the legal operator and governing law) will be added once confirmed. See also our Privacy Policy, Refund Policy and Cookie Policy.

1. Acceptance of Terms

By accessing or using Orfy, you agree to be bound by these Terms of Use. If you do not agree, please do not use the platform. These terms apply to all visitors, clients, vendors and others who access the service.

2. Eligibility

You must be able to form a binding contract to use Orfy (generally the age of majority in your jurisdiction). By using the service you confirm that you meet this requirement.

3. Definitions

"Client" means a user who books a session; "Vendor" means an independent service provider offering event or creative services; "Booking" means a confirmed request for a session; "Package" means a vendor's listed offer; "Platform fee" means the fee Orfy charges on a payment.

4. Description of Orfy

Orfy is an online marketplace that connects clients with independent professional vendors, and provides tools for discovery, booking, secure payment, in-app messaging and photo delivery.

5. Orfy's role as intermediary

Orfy facilitates bookings and payments between clients and vendors. The service itself is provided directly by the vendor. Orfy is not a party to the service contract between client and vendor.

6. User accounts

Some features require an account. You agree to provide accurate information, keep it up to date, safeguard your credentials, and are responsible for activity under your account.

7. Vendor applications

Vendors must apply and pass review, including identity verification, before offering services. Orfy may approve or reject applications and may revoke access where terms are breached.

8. Independent service-provider relationship

Vendors are independent service providers, not employees or agents of Orfy. Each sets their own packages, pricing and availability and is responsible for delivering their service.

9. Vendor profiles and packages

Vendors are responsible for the accuracy of their profile, portfolio and package details, including what each package includes and its price.

10. Availability

Availability is set by each vendor. A listed date is not reserved until a booking is confirmed and the required payment is made.

11. Booking formation

A booking is formed when the client submits a request, the vendor confirms it, and the client pays the amount shown for the selected package at checkout.

12. Pricing and platform fees

Prices are set by vendors and shown before you pay. Orfy charges a platform fee on payments; any applicable fee is shown transparently in the vendor Studio and in the relevant booking or payout records.

13. Deposit and payment

The amount required to confirm a booking is shown in the selected package and during checkout. Any remaining balance is paid after the session, before full-resolution downloads are unlocked. Payment is handled by the payment provider shown at checkout; Orfy does not store full card credentials.

14. Vendor earnings and payouts

A vendor's share of completed bookings accrues to a withdrawable balance and is paid out to their bank or e-wallet after review. Payout timing depends on the receiving provider.

15. Taxes

You are responsible for any taxes arising from your use of the service — clients on amounts they pay where applicable, and vendors and referral partners on income they earn.

16. Client responsibilities

Clients must provide accurate booking details, attend the session as arranged, and treat vendors respectfully.

17. Vendor responsibilities

Vendors must deliver the service as described, honour confirmed bookings, and comply with these terms and applicable law.

18. Session attendance

Both parties should attend the confirmed session on time and at the agreed location. Location can be coordinated through in-app messaging.

19. Rescheduling

A session may be rescheduled where both parties agree, subject to any package-specific rules shown before booking.

20. Client cancellation

A client may request a refund only while the booking is eligible (after the deposit is paid and before the session, within the request window). See the Refund Policy.

21. Vendor cancellation

If a vendor cancels or cannot provide the service, the client may receive a full refund or the option to reschedule.

22. No-show

If the vendor does not attend, the client is eligible for a full refund or reschedule. If the client does not attend a confirmed session, the booking is generally treated as delivered.

23. Weather and force majeure

For sessions affected by weather or events beyond either party's control, the usual outcome is a reschedule; a refund may apply where the session genuinely cannot proceed and has not taken place.

24. Refunds

Refund eligibility, method and timing are governed by the Refund Policy, which forms part of these terms.

25. Photo delivery

Vendors deliver photos through Orfy. Before full payment, clients see previews; original files become available once the booking is completed.

26. Ownership of delivered photographs

Unless otherwise agreed in writing with the client, vendors retain copyright in their photographs. Usage rights granted to the client are as agreed between the client and vendor.

27. Portfolio use and model releases

Vendors are responsible for obtaining any consents or model releases needed to display client photos in a portfolio. Clients can raise concerns about portfolio use with the vendor or with Orfy.

28. Reviews

Only clients of completed bookings may review, once per booking. Reviews must be honest and must not contain unlawful, abusive or personal-contact content.

29. Explore and user-generated content

Content posted to Explore must be your own or properly licensed, must not infringe rights, and is subject to moderation.

30. Content licence granted to Orfy

By posting content, you grant Orfy a non-exclusive licence to host, display and promote it within the platform for operating and marketing the service. You retain ownership of your content.

31. Copyright complaint and content removal

If you believe content infringes your rights, contact us so we can review and, where appropriate, remove it. We may remove content that breaches these terms.

32. Messaging and off-platform transactions

Keep booking-related communication and payment on Orfy. Arranging payment or bookings off-platform to avoid fees or protections is not permitted.

33. Prohibited conduct

You must not use Orfy unlawfully, harass others, post misleading or infringing content, attempt to bypass security, or damage or disrupt the platform.

34. Fraud, promotion and referral abuse

Fraudulent bookings, fake reviews, self-referral, and misleading or non-compliant promotion are prohibited and may lead to reversal of any related earnings and to account action.

35. Account suspension

We may suspend access where we reasonably believe these terms have been breached or to protect users and the platform.

36. Account termination

We may terminate accounts for serious or repeated breaches. You may stop using the service and request account deletion at any time; see the Privacy Policy for how deletion is handled.

37. Service availability

We aim to keep Orfy available but do not guarantee uninterrupted or error-free operation, and may change or discontinue features.

38. Disclaimers

Orfy does not guarantee the quality, safety or outcome of any vendor's service. The service is provided on an "as is" and "as available" basis to the extent permitted by law.

39. Limitation of liability

To the extent permitted by law, Orfy is not liable for disputes between clients and vendors or for indirect or consequential loss. Nothing in these terms limits liability that cannot be limited by law. This section is subject to legal review.

40. Indemnity

You agree to indemnify Orfy against claims arising from your breach of these terms or your unlawful use of the service, to the extent permitted by law.

41. Dispute resolution

If a dispute arises, contact us first so we can try to resolve it. Any formal dispute-resolution mechanism will be specified following legal review.

42. Governing law

The governing law and jurisdiction for these terms will be specified here following legal review and confirmation of the operating entity. Until then, applicable mandatory consumer-protection law continues to apply to you.

43. Changes to Terms

We may update these terms. Material changes will be posted here with a new effective date; continued use after changes take effect means you accept the updated terms.
